Terms & Conditions

1          Ideal Connection Pte Ltd (“Ideal Connection”, “us”, “our”, “we”) shall grant and the Licensee (“any individual, representatives or company who applies and utilizes our services and/or premises”) shall accept a Licence (“the right to operate and occupy the stated premises for their business purposes”) to use premises situate at Premises on an “as in” basis for a stated period (”Term”).

2          During the Term, the Licensee hereby undertakes with Ideal Connection as follows:-

(a)        To pay without demand to Ideal Connection the Licence fee (“means fees and/or charges as indicated in given invoices for any of the services or premises booked”) which is inclusive of 7% GST. Payments are to be made upon point of confirmation of booking.

(b)        To pay and indemnify Ideal Connection against any payment made by Ideal Connection where the Licensee has agreed to reimburse Ideal Connection for such payment.

(c)        If the Licensee fails or neglects to pay the Licence Fee and any other charges due and / or at the time of the termination of the Agreement, to pay an interest at the rate of 12% per annum on the outstanding debt subject to a minimum of $50.00, or such other rate as Ideal Connection from time to time and in its sole discretion, determine.

(d)        For Term longer than 3 months, to pay on the execution of the Agreement, the proposed sum of security deposit which is refundable, free of interest by Ideal Connection to the Licensee at the termination of the Agreement. This deposit is to be subjected however to all claims by Ideal Connection for arrears of Licence Fees and services charges for damage or destroyed fixtures or fittings for repairs to and redecoration of the Premises howsoever occasioned other than by fair wear and tear of the Premises upon the vacation by the Licensee and for all other breaches or non-observance of covenants contained herein on the part of the Licensee to be performed and observed. The amount and nature of the said replacement of fittings repair redecoration and cleaning and all claims of Ideal Connection are to be decided upon by Ideal Connection in its absolute discretion and the Licensee shall not dispute such sums. In the event of the deposit being insufficient to meet Ideal Connection’s claim, the Licensee shall compensate and pay Ideal Connection the difference between the said deposit and the amount so claimed by Ideal Connection.

(e)        Where Licence Fee and/or service and any other charges as may by imposed by Ideal Connection shall be in arrears whether wholly or in part and whether formally demanded or not, the Licensee shall pay to Ideal Connection such penalty or penalties for late payment/s as may be prescribed by Ideal Connection from time to time.

3          The Licensee shall also not be entitled to any relocation benefits or benefits of any kind upon the expiry or termination of the Agreement.

4          The Licence shall not give the Licensee the exclusive right to the use and occupation of the Premises.

5          The Licence is not transferable or assignable in any manner whatsoever and no subletting is allowed.

6          The Licensee undertakes:

(a)        To use and occupy the Premises only for Permitted Use as stated in the confirmation booking.

(b)        Shall not promote, retail or bring into or around the Premise any goods prohibited for import and domestic sales or infringing upon any intellectual property rights of any person or party and any other objectionable goods.

(c)        Unless prior written approval is obtained from Ideal Connection, all structures, installations, furniture, equipment, goods, articles, chattels and the like must be confined within the Premise and must not congest the Premises. The Licensee shall ensure that the movement of commuters around the Premises is not obstructed.

(d)        The Licensee shall keep the Premises clean and free of litter and any debris at all times to the satisfaction of Ideal Connection. Without prejudice to the generality of the foregoing, the Licensee shall:

(i)         not throw or permit to be thrown dirt, rubbish, bags, boxes or waste material or other refuse in or around the Building;

(ii)        provide its own dustbins for garbage disposal and not use the dustbins located in or around the Building;

(iii)       arrange for cleaning of the Premises and arrange for pest control services at its own expense; and

(iv)       clear, remove and dispose of all empty boxes and rubbish from the Premises daily.

(e)        Advertisements, signs, banners, placards of whatever nature, including parking and directional signs are not permitted in or around the Building without the prior written approval from and any relevant authority. The Licensee shall remove and change all unauthorized advertisements, signs, banner, placards and the like within the time specified by Ideal Connection

(f)         All staff and employees of the Licensee in attendance shall be at their best behavior at all times and be suitably attired. The Licensee shall conduct its business at the Premises in a professional manner so as not to give cause for complaints from occupants of the Building or the public.

(g)        The Licensee shall not employ or bring into the Licensed Area or in or around the Building any person who has no valid work permit, employment pass, visit pass or other permits or approvals required by the immigration authorities or whose presence in Singapore are in contravention of the Immigration Act (Cap 133) or any other applicable statute, legislation, direction or notice of the relevant authorities.

(h)        All audiovisual equipment used is subject to Ideal Connection’s prior written approval. Notwithstanding any approval given Ideal Connection, Ideal Connection reserves the right to stop the use of audiovisual if the material(s) used and/or the sound level is deemed by the Licensor to be unsuitable.

(i)         The Licensee shall not set up any broadcast system for the Shops in or around the Building.

(j)         Only licensed food are to be sold, distributed or provided by the Licensee and subjected to SFA permit approval

(k)        The Licensee shall not store combustible or flammable material (such as liquefied petroleum gas (LPG), canisters, boxes, papers and the like) in or around the Building.

(l)         Animals and pets are strictly prohibited in the Premises.

(m)       The Licensee shall comply with all applicable laws and regulations and all directives and notices of all relevant authorities.

(n)        Unless prior written approval is obtained from Ideal Connection , all free standing displays, exhibition panels, fittings, screens and backdrops shall not obstruct the visibility of any of the entrances, exits, displays, signage, advertisements and the like of the occupants of the Building.

(o)        The Licensee shall not sell, give, take, provide, propagate or promote in any way any items, programmes or belief, religious or otherwise, in or around the Building except with the prior written approval of Ideal Connection and subject to such conditions as Ideal Connection may impose.

(p)        The Licensee shall at its own expense apply to the relevant authorities for telephone line to utilize credit card or NETS facilities and shall ensure that all necessary approvals are obtained before the Commencement Date. All arrangements and telephone charges incurred thereof shall be borne by the Licensee.

(r)        The proper use and supervision of the Premises including the orderly and safe admission and departure of persons to and from the Premises and the prompt, orderly and safe clearance of the Premises in case of emergency or upon the request of Ideal Connection;

(s)        All matters of safety in the Premises and the preservation of good order and decency;

(t)         Ensuring that all circulation passages within the Premises are maintained and that there is no obstruction of any corridor, path or roadway giving access to or from the Premises and that there is no interference with the commuter traffic flow to or from the Premises during the whole time the Premises is in use.

(u)        Ensuring not to exceed the maximum number of promoters/agents/representatives stated in the confirmation booking

7          The Licensee shall acknowledge and comply strictly with the terms and conditions of conducting roadshow(s) at MRT Stations, if applicable:

(a)        The event can only be conducted within the designated area(s) and it should not be conducted at or in the vicinity of the following locations:

(i)         Passenger Service Centre (PSC)

(ii)        Automated Fare Gates (AFG)

(iii)       Equipment/Plant Rooms

(iv)       Non-public areas

(v)        Emergency Escape Stairwells/Doors

(vi)       Escalator/Lift Landings

(vii)      Platform Screen Doors

(viii)      Information Panels

(ix)       Station Entrances

(b)        SMRT MRT Stations – All Crew Members (“Crew Members” shall include any employee, contractor, performer, agent, representative, helper or any personnel engaged by The Licensee for the Event) of The Licensee shall book in individually at the PSC and exchange a valid photo ID for a Station Work Pass before the start of the Event. If an exchange of Work Pass is waived due to the large group size, a complete nominal roll (NRIC No/Passport/WP Number, Name and Contact Number) of All Crew Members who are present must be provided to the PSC.

(c)        NEL/DTL MRT Stations – The Licensee shall submit details (Full Name, NRIC/FIN/Passport No., Contact number and Company Name) of All Crew Members 1 week prior to the start of the Event for pre-registration as part of SBS Transit’s policy to access the event space. All Crew Members shall book in individually at the PSC using their NRIC/Work Permit cards to exchange for a Station Work Pass before the start of the Event. Any unregistered staff will be denied entry.

 (d)       All Crew Members shall confine their activities within their designated areas in a safe manner that will not, in any way,

(i)         cause inconvenience to commuters or members of the public

(ii)        obstruct or impede the smooth and efficient flow of commuter traffic as specified by the station staff

(iii)       affect the smooth and safe operations of the station or train

(e)        Touting, harassing of commuters or aggressive prospecting by Crew Members is strictly prohibited.

(f)         All Crew Members must be attired in a uniform (e.g. company or event T-shirt) to identify themselves.

(g)        The Licensee shall comply and shall be responsible for the compliance by all Crew Members of any and all applicable laws, rules and regulations, including without limitation to any guidelines, regulations, directives, or policies of the Land Transport Authority, Singapore Food Agency (SFA) or any other governmental authority, and/or any policies or rules (including security or safety rules) of the respective MRT Stations.

8          Ideal Connection accepts no liability whatsoever in the event of any injury or damage suffered by the Licensee or its employees, agents or any other person as a result of such occupation irrespective of whether such injury or damage is caused due to negligence of any employee or agent of Ideal Connection or otherwise.

9          To hold Ideal Connection harmless and keep Ideal Connection indemnified, fully and completely at all times from and against any and all claims, demands, actions, proceedings, damages, costs, expenses, losses and other liabilities whatsoever including legal cost which Ideal Connection may suffer, incur or sustain due to, in connection with or arising whether directly or indirectly from the use and occupation of the Premises by the Licensee. 

10        To adopt and implement every reasonable precaution against the hazard of fire and shall comply with all recommendations of Ideal Connection and FSSD as to fire safety measures as well as measures against any other hazards.

11        If and whenever during the Licence Period:

(a)        any or any part of the Licence Fee reserved by the Agreement shall be unpaid for seven (7) days from the day when they become due for payment (whether or not they shall have been formally demanded);

(b)        the Licensee shall at any time fail to observe or perform any of the terms and conditions in the Agreement;

(c)        the Licensee being a sole proprietor or partnership shall file a notice of termination or notice of cessation and closes the business or shall fail to renew its Certificate of Registration or shall be struck off the Register of Businesses or if the Licensee being a limited liability partnership shall go into liquidation (whether compulsory or voluntary) or shall be struck off the Register of Limited Liability Partnerships or if a receiver shall be appointed of its undertaking, property or assets or any part thereof or if the Licensee being a company shall go into liquidation whether compulsory or voluntary (except for the purpose of amalgamation or reconstruction of a solvent company), or shall be struck off the Register of Companies or if a receiver or receiver and manager or judicial manager (including an interim judicial manager) shall be appointed of its undertaking property or assets or any part thereof;

(d)        the Licensee is unable to obtain or keep in force the approvals, consents, licences, certificates or permits from the appropriate authorities required for the use of the Licensed Area; or

(e)        if the Licensee shall offer to or enter into any composition or arrangement with the Licensee’s creditors or shall suffer any distress or execution to be levied on the Licensee’s goods;

Ideal Connection shall be entitled to terminate the Licence Period of the Premises or the licence periods of all the Premises forthwith by giving written notice to the Licensee to that effect, without prejudice to the Licensor’s rights and remedies for breach.

(f)         Without prejudice to the foregoing and without prejudice to any rights and remedies of Ideal Connection, Ideal Connection reserves the right to terminate the License Period of the Premises or the license periods of all the Premises at any time before or during the License Period for redevelopment or any other purposes by giving one (1) week prior notice in writing to the Licensee, without any payment of compensation, indemnity or explanation from the Licensor to the Licensee.

(g)        Without prejudice to the foregoing, Ideal Connection reserves the right to, instead of terminating the License, relocate the Licensee to other available area or space in or around the Building before or during the License Period if the Licensee breaches any of its undertakings, covenants and agreements in this Agreement. In this respect, there will be no adjustment in the License Fee payable by the Licensee to Ideal Connection and all costs and expenses incurred in connection with such relocation are to be borne by the Licensee.

(h)        In the event of any termination of this agreement before the Licence Period (whether by the Licensor or otherwise), the Licensee shall not be entitled to a rebate or refund (whether these shall be in whole or in part) of the License Fee payable or paid.

(i)         For the avoidance of doubt, the parties hereby acknowledge and agree that notwithstanding anything herein, including Clause 10(h) above, the Licensee shall not, under any circumstances, be entitled to or have any right to terminate this agreement before the expiry of the License Period.

Ideal Connection may terminate this Agreement by giving one calender month’s notice to the Licensee without furnishing any reason whatsoever.

Privacy Policy

This is the Privacy Policy (“Policy”) of Ideal Connection Pte Ltd (“Ideal Connection”, “we”, “our”).

This Policy applies to all personal/business data that you may provide to us and the personal/business data we hold of you. The collection, use and disclosure of your Customer Data enables us to provide the services and locations that are most likely to meet your needs and requirements. This Privacy Policy outlines our policy and responsibility in relation to the collection, use, as well as disclosure of Customer Data. By providing us with your personal/business data and continuing to use our website services, you have agreed to all the following terms, conditions and notices in this policy.

  1. The type of Customer Data that we collect

The Customer Data that we collect include, but not limited to your name, NRIC/Passport/FIN number, date of birth, mailing address, email address, contact number, IP address, credit/debit card information, business ACRA information, business industry information, business contact and mailing information.

It is mandatory for us to collect Customer Data in order to provide you with our services. Personal information (given name, last name, date of birth, NRIC/Passport/FIN number, residence address, email address and mailing address), credit card details (name on credit or debit card, credit or debit card number, expiry date and CVV number) and company details (company name, ACRA file, license details, mailing address and contact information) are needed to ensure smooth processing of your booking experience with us. The failure to supply these information will result in the inability to register an account with us.

Providing us with your contact information will enable us to keep you posted on any latest announcements or upcoming events. We will also use this communication to get feedback to help us develop, deliver and improve our services and advertising to ensure that it is functioning in the most effective and efficient way for your usage. We will also use your Customer Data to maintain your account with us, facilitate transactions and services, provide customized services and marketing in accordance to your industry and interest, for internal operations purposes including but not limited to troubleshooting, data analysis, testing, research and statistical and survey purposes. Your mailing information will also be utilized to send out service confirmation as well as invoicing purposes. We may also use your account information for account and network security purposes, to protect our data and web security for other users as well as to prevent fraud cases and also to validate any online transactions.

Ideal Connection may disclose your Customer Data to public or government authorities when necessary upon request for fraud protection, credit risk reduction and any suspected unlawful activities.

  1. Retention of Customer Data

Ideal Connection will retain the Customer Data for any period of time deemed necessary to fulfil the purposes as stated in this Privacy Policy of which the Customer Data was collected. During any part of this period of time, users are able to easily update and complete any part of the Customer Data to ensure that the given and collected information is up to date and accurate.
